1. Agreement to Terms

By creating an account, accessing, or using the Candel Quote platform (“Service”), operated by Candel Quote LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”).

If you use the Service on behalf of a company or other legal entity, you represent and warrant that you have authority to bind that entity to these Terms.

If you do not agree to these Terms, you may not use the Service.

2. Description of Service

Candel Quote is a subscription-based SaaS platform for roofing contractors that enables homeowner estimate generation, lead capture, scheduling, and automated communications.

We reserve the right to modify, suspend, or discontinue any feature or functionality of the Service at any time, with or without notice.

3. Subscriptions, Billing, and Payment

The Service is offered on a subscription basis at $99 per month unless otherwise agreed in writing.

New accounts receive a 14-day free trial. A valid payment method is required at signup. You will not be charged until the trial ends.

Subscriptions automatically renew at the end of each billing cycle unless cancelled before renewal. You may cancel through your dashboard settings. Access will continue until the end of the current paid billing period.

All fees are non-refundable except where required by law.

We reserve the right to change pricing upon reasonable advance notice.

4. Acceptable Use and Legal Compliance

You agree to use the Service only for lawful purposes and in compliance with all applicable federal, state, and local laws, including but not limited to:

  • The Telephone Consumer Protection Act (TCPA)
  • The CAN-SPAM Act
  • State telemarketing and privacy laws

You are solely responsible for:

  • Obtaining proper consent before sending SMS or email communications
  • Maintaining opt-in and opt-out records
  • Ensuring your communications comply with applicable laws

Candel Quote does not provide legal advice and makes no representation that your use of the Service will comply with any law.

You agree not to:

  • Send unsolicited commercial communications without lawful consent
  • Use the Service to collect data from minors under 13
  • Attempt unauthorized access to the Service
  • Reverse engineer or copy the Service
  • Resell or sublicense access without written permission
  • Engage in deceptive, fraudulent, abusive, or unlawful practices

We reserve the right to suspend or terminate accounts engaged in unlawful activity.

5. User Data and Privacy

Your use of the Service is governed by our Privacy Policy, incorporated herein by reference.

You retain ownership of your business data, including leads and pricing configurations.

You grant us a limited license to process and store your data solely to provide the Service.

Following termination, we will retain your data for up to 30 days before permanent deletion. We are not responsible for retaining data beyond that period, and recovery after deletion is not guaranteed. Backup copies may persist temporarily in secure archival systems.

6. Intellectual Property

The Service, including all software, designs, trademarks, branding, and content, is owned by Candel Quote LLC and protected by intellectual property laws.

Nothing in these Terms grants you ownership of the Service or its underlying technology.

7. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.”

WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE FROM HARMFUL COMPONENTS.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, REVENUE, OR GOODWILL.

OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

These limitations apply regardless of the theory of liability.

9. Indemnification

You agree to indemnify, defend, and hold harmless Candel Quote LLC and its officers, directors, employees, and affiliates from any claims, damages, liabilities, losses, and expenses (including attorneys' fees) arising out of or related to:

  • Your use of the Service
  • Your communications with homeowners or leads
  • Violations of applicable laws (including TCPA or CAN-SPAM)
  • Any dispute between you and your customers

This provision survives termination of these Terms.

10. Termination

You may cancel your subscription at any time.

We may suspend or terminate your account for violation of these Terms, suspected unlawful activity, or non-payment.

Upon termination, your right to access the Service ceases immediately.

11. Dispute Resolution and Arbitration

Any dispute arising from these Terms shall first be attempted to be resolved informally.

If unresolved, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association in Washington State.

You waive the right to participate in class actions or class-wide arbitration.

Notwithstanding the foregoing, either party may seek injunctive relief in court for intellectual property violations.

12. Governing Law

These Terms are governed by the laws of the State of Washington, without regard to conflict-of-law principles.

13. Force Majeure

We are not liable for delays or failure to perform resulting from events beyond our reasonable control, including natural disasters, internet outages, third-party service interruptions, labor disputes, or governmental actions.

14. Electronic Communications

You consent to receive notices and communications electronically. Electronic delivery satisfies any legal communication requirement.

15. Severability

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force and effect.

16. Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

17. Entire Agreement

These Terms constitute the entire agreement between you and Candel Quote LLC regarding the Service and supersede all prior agreements or understandings.
